1. Acceptance of the Terms
These Terms & Conditions (the "Terms") form a legal agreement between you and New Horizons y Cargo LLC (the "Company", "we", "us"), owner of the KLENDARS application (the "App"). By creating an account, accessing, or using the App, you agree to be bound by these Terms and by the Privacy Policy. If you do not agree, do not use the App.
2. Description of the Service
KLENDARS is a personal-organization tool that lets you record and track bills, payments, budgets, lists, purchases, events, and shared expenses. The App is informational and organizational only. It is NOT a bank or financial institution, it does NOT process, transfer, or hold money, and it does NOT provide financial, accounting, tax, legal, investment, nutritional, or medical advice. Features such as "shared expenses", "settle up", or the recording of prices and payment methods are record-keeping tools only: they do not represent real transactions or payment obligations between people. Any decision you make based on information in the App is your sole responsibility.
3. Eligibility and Minimum Age
You must be at least 18 years old and capable of forming a legally binding contract to create an account or use the App. The App is intended solely for adults. By creating an account or using the App, you represent and warrant that you are 18 years of age or older, that the information you provide is truthful and accurate, and that you have the legal capacity to enter into these Terms. We do not knowingly permit anyone under 18 to use the App; if we learn that a user is under 18, we may suspend or close the account.
4. Your Account
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We are not liable for losses arising from your failure to meet this obligation. You may close your account at any time from within the App.
5. Acceptable Use
You agree not to: (a) use the App for any unlawful or unauthorized purpose; (b) attempt to access accounts, data, or systems that do not belong to you; (c) breach, decompile, or interfere with the security or operation of the App; (d) upload content that is illegal, offensive, or that infringes the rights of third parties; (e) use the App to harass, defraud, or harm other people. We may suspend or terminate your access if you violate these rules.
6. Your Content and Data
You retain ownership of the information you enter into the App ("your Content"). You grant us a limited, non-exclusive, worldwide license to store, process, and display your Content for the sole purpose of operating and providing the service to you. You are solely responsible for the accuracy, legality, and backup of your Content. We do not guarantee permanent data retention, and we recommend that you keep your own backups of important information.
7. Shared and User-to-User Features
The App allows you to share lists, events, and expenses with other people. Any agreement, debt, expense split, or dispute that arises between you and other users is solely between those people. The Company is not a party to those relationships, does not mediate them, and assumes no responsibility for them. The App merely reflects the information that users enter.
8. Purchases and Payments (KLENDARS Pro)
The App is free to download and use. Core organization features — lists, tasks, bills, budgeting and the on-device Mochi assistant — are available at no cost. Certain premium features, collectively "KLENDARS Pro", can be unlocked through a single one-time in-app purchase. KLENDARS Pro is a one-time, non-consumable purchase: there is no subscription and no automatic renewal or recurring charge. KLENDARS Pro mainly unlocks Mochi's cloud-based AI capabilities (goal planning, memory and intelligent actions) and other premium features described in the App.
The App may also offer optional special-edition items — such as cosmetic themes (for example, the "Cosmos" theme) — as separate one-time, non-consumable in-app purchases. These items are independent of KLENDARS Pro, are purely optional and cosmetic, carry no subscription or recurring charge, and may be offered, changed or retired over time. Buying KLENDARS Pro does not include special-edition items, and buying a special-edition item does not include KLENDARS Pro.
All purchases are processed and charged by Apple through the App Store, and all billing, payment processing and any refunds are handled by Apple in accordance with the App Store's terms and Apple's policies. The Company does not process or store your payment information and is not responsible for Apple's billing decisions. You may restore previous purchases on your devices using the same Apple ID. The set of features and items available may evolve over time as the App is updated.
9. Product Information and Health Disclaimer
To help you organize your shopping, the App can look up product information — such as product name, brand, image, net quantity, nutritional grade, labels, and allergen indications — from third-party and community-maintained databases, and can read barcodes and printed dates using your device's camera. This information is provided for convenience and general reference only and may be incomplete, inaccurate, or out of date. IT IS NOT A SUBSTITUTE FOR READING THE PHYSICAL PRODUCT LABEL. Allergen and ingredient information in particular must always be verified directly on the product's actual packaging before purchase or consumption. The Company does not warrant the accuracy of any product, nutritional, allergen, price, store, or expiration information, and is not responsible for decisions you make based on it. If you have a food allergy or any health condition, rely on the product label and, where appropriate, a qualified professional.
10. Third-Party Services
The App relies on third-party infrastructure and services, including hosting and database providers, Apple's app distribution and mapping platforms, and open product databases used for barcode lookups. When you use certain features, limited data is sent to these providers — for example, a scanned barcode is sent to a product database, and your approximate location is sent to a mapping service to find nearby stores. Your use of the App is also subject to those third parties' terms. We are not responsible for acts, omissions, failures, or interruptions attributable to those third parties.
11. Artificial Intelligence Features
The App includes an AI assistant ("Mochi") that can chat with you, build plans, create tasks and remember information you choose to share with it. AI responses are generated automatically and may be inaccurate, incomplete or outdated. They are provided for personal-organization purposes only and do not constitute financial, investment, legal, tax, medical or other professional advice. Always verify important information before acting on it.
To provide these features, your AI conversations — together with summaries of your in-app data (such as budgets, bills and tasks) and facts you explicitly tell Mochi — may be processed by third-party AI providers acting on our behalf (currently Google and/or Anthropic). Such processing is subject to those providers' terms. If you configure your own API key ("bring your own key"), your AI usage is governed by and billed under your direct agreement with that provider, your key is stored only on your device, and you are responsible for keeping it secure.
Usage limits and your own key. Mochi's cloud AI included with KLENDARS Pro is provided through a shared allowance and is subject to a fair-use daily limit (currently approximately 60 AI messages per day per user). This limit is an approximation, is provided for capacity and abuse-prevention reasons, and may change at any time without notice. If you need more usage, you may connect your own API key from one of the supported providers (currently Anthropic Claude, OpenAI / ChatGPT, or Google Gemini); in that case your usage is governed by, and billed under, your direct agreement with that provider, it is not subject to our shared daily limit, your key is stored only on your device and transmitted only to that provider's official endpoint, and you are solely responsible for the key's security, validity, cost and compliance with the provider's terms. You must not submit keys or credentials that are not your own, and you must not use a key to attempt to attack, overload, or interfere with the Service or any third party.
You must not use AI features to request or generate illegal or harmful content, to attempt to access other users' data, to probe or compromise the security of the Service, or to circumvent usage limits. We may apply rate limits and may modify, suspend or discontinue AI features at any time. Information Mochi remembers about you is stored under your account and is deleted when your account is deleted.
12. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, secure, or error-free, or that the information will be accurate or complete.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, New Horizons y Cargo LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOSS OF DATA, PROFITS, OR OPPORTUNITIES, NOR FOR FINANCIAL, NUTRITIONAL, HEALTH, OR OTHER DECISIONS MADE BASED ON THE APP. OUR TOTAL AND AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE APP SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID FOR THE APP IN THE PRECEDING 12 MONTHS, OR (b) ONE HUNDRED U.S. DOLLARS (USD $100). Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the maximum extent permitted.
14. Indemnification
You agree to defend, indemnify, and hold harmless New Horizons y Cargo LLC from any claim, demand, damage, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the App; (b) your breach of these Terms; (c) your Content; or (d) your violation of the rights of a third party.
15. Modifications
We may modify or discontinue the App, in whole or in part, at any time. We may also update these Terms; when we do, we will notify you within the App and, if the changes are material, you will be asked to accept the new version. Continued use of the App after an update constitutes your acceptance of the then-current Terms.
16. Termination
You may stop using the App and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Provisions that by their nature should survive (including those on liability, indemnification, and governing law) will remain in effect after termination.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States of America, without regard to its conflict-of-laws rules. Any dispute shall be resolved, to the extent permitted by law, through binding, individual arbitration; to the extent permitted by applicable law, you and the Company waive any right to participate in class actions and to a jury trial. If arbitration does not apply, disputes shall be submitted to the competent courts located in the State of Florida.
18. General Provisions
If any provision of these Terms is held invalid, the remainder will continue in full force and effect. Failure to exercise a right does not constitute a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the App.
